1. Agreement to Terms
By accessing or using the Agentic Local SEO website (agenticlocalseo.com), platform, tools, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
2. Description of Services
Agentic Local SEO provides AI-powered SEO audit tools, content generation, website building, and related digital marketing services. Our Services include but are not limited to: 21-phase SEO audits, keyword and entity research, content writing, website deployment, Google Business Profile optimization guidance, and AI visibility analysis. Services are provided on a self-serve (SaaS) basis and/or as done-for-you professional services.
3. Account Registration
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable laws; (b) attempt to gain unauthorized access to any part of the Services or related systems; (c) use the Services to generate spam, misleading content, or content that violates third-party rights; (d) interfere with or disrupt the Services or servers connected to them; (e) resell or redistribute the Services without authorization; (f) scrape, crawl, or otherwise extract data from the Services except as expressly permitted.
5. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, audit frameworks (LOCAL-IMPACT, SERP-TRUST), skill definitions, and scoring methodologies — are owned by Agentic Local SEO and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our proprietary content without written permission.
6. User Content and Data
You retain ownership of content and data you provide to us ("User Content"), including business information, website URLs, and any materials submitted for audit or optimization. By using our Services, you grant us a limited, non-exclusive license to use your User Content solely for the purpose of providing the Services. We will not share your User Content with third parties except as necessary to deliver the Services or as required by law.
7. Payment and Billing
Paid plans and services are billed as described at the time of purchase. Subscription plans renew automatically unless cancelled before the renewal date. One-time services are billed upon order. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change pricing with 30 days notice to existing subscribers.
8. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of the Services.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be error-free, uninterrupted, or that any SEO recommendations will achieve specific ranking results. SEO results depend on many factors outside our control, including search engine algorithm changes, competitor actions, and implementation quality.
10. Limitation of Liability
To the maximum extent permitted by law, Agentic Local SEO and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Agentic Local SEO and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.
12. Termination
We may terminate or suspend your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, indemnification, and limitations of liability.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of competent jurisdiction.
